Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services, websites, and products provided by NUERIX AI TECHNOLOGIES LLC (“Nuerix,” “we,” “us,” or “our”), a limited liability company organized under the laws of the Commonwealth of Kentucky, United States. By accessing our website at nuerixai.com or engaging our services, you (“Client” or “you”) agree to be bound by these Terms.

1. Services

Nuerix provides artificial intelligence automation solutions, consulting, and related professional services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate proposal, statement of work, or order confirmation (“Order”). In the event of a conflict between an Order and these Terms, the Order controls for that engagement.

2. Fees and Payment

Fees are set out in the applicable Order and are due according to the payment terms stated there. Unless otherwise agreed in writing, invoices are payable upon receipt. Late payment may result in suspension of services. All fees are exclusive of applicable taxes, which are your responsibility.

3. Client Responsibilities

You agree to provide timely access to the information, systems, credentials, and personnel reasonably required for us to perform the services. Delays caused by incomplete or inaccurate information provided by you may affect timelines and costs.

4. Intellectual Property

Upon full payment, you receive a license to use the deliverables produced specifically for you under an Order for your internal business purposes. Nuerix retains ownership of all pre-existing materials, tools, frameworks, methodologies, and general know-how used or developed in the course of providing services. Nothing in these Terms transfers ownership of Nuerix’s underlying technology.

5. Confidentiality

Each party agrees to protect the other’s confidential information and to use it only for purposes of the engagement. This obligation survives termination.

6. Disclaimers

Services are provided “as is” and “as available.” Nuerix does not warrant that services will be uninterrupted, error-free, or that they will achieve any specific business result. Outcomes from AI automation depend on factors outside our control, including your data, your systems, and third-party platforms.

7. Limitation of Liability

To the maximum extent permitted by law, Nuerix’s total liability arising out of or related to any engagement will not exceed the fees paid by you for the specific services giving rise to the claim. Nuerix is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or data.

8. Termination

Either party may terminate an engagement as set out in the applicable Order, or upon a material breach that remains uncured after written notice. Fees for services performed up to the termination date remain payable.

9. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-law principles. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Kentucky.

10. Changes

We may update these Terms from time to time. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
